PE Fund Buys Pennsylvania Machine Works

March 4, 2020
Wynnchurch Capital purchased the integrated closed-die forging group, including Penn Machine, U.S. Drop Forge, and Penn Texas, manufacturers of high-pressure fittings and branch connections.

Private-equity firm Wynnchurch Capital, L.P. acquired Pennsylvania Machine Works LLC, an integrated manufacturer of high-pressure forged fittings and branch connections from 0.125 in. to 72 in. diameter, in carbon and stainless steels, nickel alloys, chromium-molybdenum alloys, titanium, aluminum alloys, and copper-nickel. Pennsylvania Machine Works operates a machining operation in Aston, PA; a closed-die forging plant called U.S. Drop Forge, Swedesboro, NJ; and Penn Texas, a machine shop in Houston.

The group's customers are shipbuilders and marine suppliers, nuclear power operation, petrochemical industries, cryogenics operations, and steelmakers.

The value of the purchase was not announced.

"We are committed to providing our customers with a one-stop solution for all their forged fittings and branch connection needs, and are excited to partner with Wynnchurch as we continue that mission," according to Joe Pro, president of Penn Machine. "Wynnchurch understands the importance of meeting the needs of our customers which is constantly evolving," he added.

"Penn Machine has built a strong reputation for providing customers with industry-leading service levels across a broad offering of fittings and branch connections," commented Greg Gleason, managing director at Wynnchurch. "We are excited to partner with Joe (Pro) and his team to continue the company’s impressive track record."

Wynnchurch Capital is the same investor that acquired Allegheny Technologies' Portland, IN, and Lebanon, KY, closed-die steel forging operation in June 2019. Those operations, now called Premier Forge Group, produce small forged parts in carbon, specialty alloy, and stainless steels for industrial markets, including oil-and-gas, transportation, and construction and mining industries.

In January, Premier Forge acquired California Amforge, a closed-die producer of carbon and alloy steels, stainless steel, and titanium alloys for aerospace, defense, and oil-and-gas manufacturing.
